Terms of Service

1. Acceptance of Terms

By installing, accessing, or using any CriticalRidge application ("App" or "Apps") available through the Atlassian Marketplace, you ("Customer" or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not install or use our Apps.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees through the Atlassian Marketplace, CriticalRidge grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the App(s) solely in connection with your authorized use of Atlassian products (Confluence, Jira, etc.)
  • Access and use the App functionality for your internal business purposes
  • Permit your authorized users to access and use the App in accordance with these Terms

This license is contingent upon your active subscription through the Atlassian Marketplace and compliance with Atlassian's Marketplace Terms.

3. Restrictions

You agree that you will not, and will not permit any third party to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any App
  • Modify, adapt, translate, or create derivative works based on any App
  • Redistribute, sublicense, rent, lease, or lend any App to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks on any App
  • Use any App for any unlawful purpose or in violation of any applicable laws or regulations
  • Use any App in a manner that could damage, disable, overburden, or impair any server or network
  • Attempt to gain unauthorized access to any App, other accounts, computer systems, or networks
  • Use any App to store or transmit malicious code, viruses, or harmful data

4. Intellectual Property

The Apps and all copies thereof are proprietary to CriticalRidge and title thereto remains exclusively with CriticalRidge. All rights in the Apps not specifically granted in these Terms are reserved to CriticalRidge.

The Apps are protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. You acknowledge that the Apps contain valuable trade secrets and confidential information of CriticalRidge.

"CriticalRidge" and our App names, logos, and other marks are trademarks of CriticalRidge. You may not use any CriticalRidge trademarks without our prior written permission.

5. Disclaimer of Warranties

THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRITICALRIDGE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE APPS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT THE APPS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT ANY ERRORS OR DEFECTS IN THE APPS WILL BE CORRECTED

You acknowledge that the Apps operate on and are dependent upon the Atlassian platform, and CriticalRidge is not responsible for any issues arising from the Atlassian platform itself.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRITICALRIDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APPS
  • ANY DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

IN NO EVENT SHALL CRITICALRIDGE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE APPS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

7. Termination

These Terms are effective until terminated. Your license to use the Apps will terminate automatically if you fail to comply with any provision of these Terms.

7.1 Termination by You

You may terminate your use of our Apps at any time by uninstalling the App through the Atlassian Marketplace and canceling your subscription.

7.2 Termination by CriticalRidge

CriticalRidge may terminate or suspend your access to any App immediately, without prior notice or liability, for any reason, including if you breach these Terms.

7.3 Effect of Termination

Upon termination, your right to use the Apps will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or your use of the Apps.

9. General Provisions

9.1 Entire Agreement

These Terms, together with the Atlassian Marketplace Terms and any applicable order forms, constitute the entire agreement between you and CriticalRidge regarding the Apps.

9.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

9.3 Waiver

The failure of CriticalRidge to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

9.4 Assignment

You may not assign or transfer these Terms without the prior written consent of CriticalRidge. CriticalRidge may assign these Terms without restriction.
